Distance Sales Agreement

1. Parties

This Distance Sales Agreement (the "Agreement") has been concluded electronically between the Seller and the Buyer whose details are set out below, within the framework of the following terms and conditions.

1.1. Seller

Loopcode is the operator of the event and community management and ticketing platform (the "Platform" or "Gathin") operating at gathin.com under the "Gathin" brand. In the sale of paid tickets, Loopcode acts in the capacity of merchant of record for the ticket; it sells the ticket in its own name, issues the invoice or relevant document to the Buyer, collects the ticket price in its own name and transfers the collected amount to the Organiser within the framework of the arrangements between them.

1.2. Buyer

The natural or legal person purchasing a paid ticket through the Platform (the "Buyer"). The Buyer's identity and contact details are determined by the order summary entered by the Buyer at the payment step during the order and deemed an integral part of this Agreement. In this scope, first and last name, e-mail, mobile telephone number, identity number for paid tickets, billing address and, if any, tax number are declared by the Buyer.

1.3. Organiser

The natural or legal person staging the relevant Event and opening ticket sales on the Platform (the "Organiser"). The Organiser is the party staging the Event; it is not the seller of the ticket. The content, date, venue, scope and staging of the Event are the responsibility of the Organiser.

2. Subject of the Agreement

The subject of this Agreement is the determination of the rights and obligations of the parties, pursuant to the provisions of Law No. 6502 on Consumer Protection and the Regulation on Distance Contracts, in relation to the sale and performance of the event ticket (the "Ticket") ordered electronically by the Buyer through the Platform, whose characteristics and sale price are set out below and in the order summary.

The Buyer accepts that they obtained and electronically confirmed, prior to placing the order, all preliminary information concerning the subject of the Agreement, including information on the essential characteristics of the Ticket subject to sale, the sale price, the method of payment, the conditions of performance and delivery, and the right of withdrawal.

3. Essential Characteristics of the Product and Service

The product subject to the Agreement is an electronic ticket (e-ticket) granting the right to attend a specific Event. The name, date, time, venue, category and, if any, seating arrangement information of the Event for which the Ticket is valid, together with the Ticket type, quantity and unit price, are set out on the product page viewed by the Buyer during the order and in the order summary.

The Event is staged by the Organiser. The content, duration, programme, holding, postponement or cancellation of the Event are at the discretion and responsibility of the Organiser. Loopcode carries out the sale and collection transaction in the capacity of merchant of record for the Ticket; the party owing the obligation relating to the staging of the Event is the Organiser.

The Ticket is valid only for the Event stated on it and under the stated conditions. Restrictions on the transfer, resale and use of the Ticket may be set out on the product page and in the conditions determined by the Organiser.

4. Sale Price and Payment

4.1. Price

The total sale price of the Ticket including taxes is calculated by reference to the Ticket unit price, quantity and taxes, and is shown clearly in the order summary. Prices may be set by the Organiser on an Event basis in one of the currencies TL/TRY (default), USD or EUR.

Value Added Tax (VAT) is applied at the rate in force (the general rate is 20%); certain events may be subject to a different or zero rate under the legislation. Whether the price is displayed inclusive or exclusive of VAT is determined by the Organiser on an Event basis and stated in the order summary.

No separate service or transaction fee is collected from the Buyer in addition to the ticket price; the Buyer pays only the ticket price shown in the order summary. The commission received by the Platform is deducted from the Organiser's entitlement out of the ticket price and is not additionally passed on to the Buyer (see the Organiser Agreement).

The total amount payable by the Buyer is the ticket price set out in the order summary, inclusive of all taxes.

4.2. Payment

Payment is carried out through the "iyzico" payment infrastructure with 3D Secure verification. The Buyer's card details are transmitted to iyzico via Loopcode's payment infrastructure for the purpose of executing the payment; they are not recorded or stored by Loopcode. At the payment step, the Buyer is asked for first and last name, e-mail, mobile telephone number, identity number, billing address and, if any, tax number, together with card details.

If the payment cannot be completed, is cancelled, or is declined by the relevant bank or payment institution, Loopcode shall be deemed released from its order and performance obligations.

4.3. Invoice and Documentation

Loopcode, in the capacity of merchant of record for the Ticket, issues the e-Archive invoice relating to the sale in the name of the Buyer. The invoice is issued within the period prescribed by the applicable legislation (7 days) and sent to the e-mail address declared by the Buyer; it is not currently displayed separately in the Platform interface.

5. Performance and Delivery

The Ticket subject to the Agreement is performed electronically following the successful completion of payment. The e-ticket and/or QR code is sent to the e-mail address declared by the Buyer during the order and may additionally be made accessible from the Buyer's account on the Platform.

The Buyer is obliged to check their account on the Platform in case the e-mail does not reach them or falls into spam or similar folders. Loopcode cannot be held responsible for delays and damages arising from an incorrect or incomplete declaration of the e-mail address.

Entry to the Event is provided by checking the QR code on the e-ticket or by identity verification at the Event entrance. In the event that a Ticket is copied, reproduced or shared without authorisation, the first Ticket scanned shall be deemed valid and subsequent entries may be refused.

6. Right of Withdrawal and Its Exception

To the extent that the Ticket subject to the Agreement grants the right to attend an Event to be held on a specific date or during a specific period, it falls within the scope of Article 15, first paragraph, subparagraph (g) of the Regulation on Distance Contracts (entertainment or leisure services that must be performed on a specific date or during a specific period), and in such cases the Buyer has no right of withdrawal.

For online events or services not tied to a specific date (for example, accessible on demand or without a time limit), the exception in subparagraph (g) does not apply; for such products the Buyer has the 14-day right of withdrawal provided for in the Regulation. The procedure for exercising the right of withdrawal is set out in the "Cancellation and Refund Terms" document.

Whether the Ticket falls within the right-of-withdrawal exception is notified to the Buyer on the product page and in the pre-information before purchase. This does not eliminate the rights relating to the cancellation, postponement and refund cases set out in Article 7 below.

7. Cancellation, Postponement and Refund

7.1. General

The procedures and principles relating to ticket cancellation, the postponement or cancellation of the Event and refunds are set out in the "Cancellation and Refund Terms" document together with this Agreement. By placing the order, the Buyer is deemed to have accepted the conditions contained in that document.

7.2. Cancellation Request Attributable to the Buyer

For Events falling within the right-of-withdrawal exception (date-specific), tickets are as a rule non-refundable. Cancellation requests attributable to the Buyer are not subject to refund, except in the cases where the statutory right of withdrawal set out in Article 6 of this Agreement applies and the cases of cancellation/postponement attributable to the Organiser set out in Article 7.3. As the Buyer pays no separate service fee in addition to the ticket price, the amount subject to refund is the ticket price.

7.3. Cancellation or Postponement Attributable to the Organiser

If the Event is cancelled by the Organiser, the ticket price paid by the Buyer is refunded. If the Event is postponed, the Ticket remains valid for the new date; where the new date is not suitable for the Buyer, a refund may be made within the framework of the Cancellation and Refund Terms.

7.4. Refund Method and Timing

Approved refunds are made by Loopcode to the payment instrument (card) used by the Buyer at the time of payment, through the iyzico infrastructure, within 14 days at the latest. The time taken for the refund to appear in the Buyer's account may vary depending on the processes of the relevant bank or payment institution.

8. Declarations and Obligations of the Buyer

The Buyer;

  • That all information declared during the order is accurate, current and complete,
  • That they have completed the age of 16 and have the capacity to transact,
  • That they have obtained and approved the preliminary information concerning the essential characteristics of the Ticket subject to the Agreement, the sale price, the method of payment, the conditions of performance and the exception to the right of withdrawal,
  • That responsibility for the content and staging of the Event belongs to the Organiser, and that Loopcode carries out the sale and collection process in the capacity of merchant of record,
  • That they will not copy or reproduce the Ticket without authorisation and will not transfer it in a manner contrary to the sale conditions,
  • That they will comply with the rules in force at the Event venue and with the attendance conditions determined by the Organiser

hereby accepts, declares and undertakes.

9. Protection of Personal Data

The personal data provided by the Buyer within the scope of this Agreement is processed in accordance with Law No. 6698 on the Protection of Personal Data (the "KVKK") and the relevant legislation. Detailed information about the purposes and legal grounds of processing personal data, the parties to whom it is transferred, retention periods, and the data subject's rights under Article 11 of the KVKK together with the method of exercising those rights is set out in the "KVKK Privacy Notice" and "Privacy Policy" documents.

Within the scope of payment transactions, card details are transmitted to iyzico via Loopcode's payment infrastructure and are not stored by Loopcode. The Buyer may submit applications under the KVKK via info@loopcode.co.

10. Resolution of Disputes

This Agreement is governed by the laws of the Republic of Türkiye. In disputes arising from the Agreement, in respect of consumer transactions, the Consumer Arbitration Committees and the Consumer Courts have jurisdiction within the monetary limits announced each year. For disputes above the relevant monetary limits the Consumer Courts have jurisdiction, and for disputes not qualifying as consumer transactions the generally competent courts and enforcement offices of Istanbul have jurisdiction.

The Buyer may submit complaints and notifications to Loopcode via info@loopcode.co.

11. Entry into Force

This Agreement shall be deemed concluded and to have entered into force electronically upon the Buyer confirming their order through the Platform and the successful completion of payment. By confirming the order, the Buyer declares that they have read and accepted all the terms and conditions of the Agreement and the "Privacy Policy", "KVKK Privacy Notice", "Cancellation and Refund Terms" and "Community Rules" documents referred to herein. A copy of the Agreement, together with the pre-information, is sent to the e-mail address declared by the Buyer via a durable medium following order confirmation.
